U.K. Clears Paramount’s $110 Billion Warner Bros. Discovery Acquisition


Paramount Skydance’s proposed $110 billion acquisition of Warner Bros. Discovery cleared a major regulatory hurdle Thursday when the United Kingdom approved the transaction on competition and public-interest grounds.


The U.K. Competition and Markets Authority announced August 6 that it had cleared the anticipated acquisition after a Phase 1 review. The government also chose not to escalate its separate public-interest scrutiny after Paramount supplied legally binding commitments involving news operations and British programming.


Those commitments protect the editorial independence of Channel 5 News, CNN International and CBS News, according to Reuters. Paramount also promised continuity for local programming and children’s services, while keeping major network identities distinguishable. The safeguards reflect the scale of a deal that would place film studios, news organizations, cable networks and major streaming libraries under one corporate roof.


For audiences, the headline is not simply that two famous Hollywood names may combine. The proposed company would control an enormous range of entertainment—from Warner Bros. films and HBO programming to Paramount Pictures, CBS and a deep portfolio of cable brands. That concentration could influence which projects receive funding, where they stream and how creators negotiate with distributors.


The U.K. decision does not complete the acquisition. California and 11 other U.S. states are challenging the deal on antitrust grounds, and that litigation remains a significant obstacle. Thursday’s clearance nevertheless moves the deal forward. It also shows the price regulators are attaching to approval: corporate assurances must be converted into enforceable protections for editorial independence, local production and consumer choice.
